These Terms of Service ("Terms") govern your access to and use of Nova Menu ("Nova Menu", "we", "us" or "our"), the QR-code ordering platform operated by Devlance and available at novatechmenu.com, together with its dashboards, guest ordering pages and related services (the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Definitions
- "Restaurant" means a business that subscribes to and configures the Service to publish menus and take orders.
- "Guest" means an end user who scans a QR code to browse a menu and place an order.
- "User" means anyone who accesses the Service, including Restaurants, their staff and Guests.
- "Content" means menus, images, descriptions, prices, branding and other materials submitted through the Service.
2. The Service
Nova Menu provides software that lets Restaurants publish digital menus, generate table QR codes, receive and manage orders across kitchen and waiter tools, and — where enabled — accept payments. Nova Menu is a technology provider only. We do not prepare, sell or deliver food or beverages, and we are not a party to the transaction between a Guest and a Restaurant.
3. Eligibility and accounts
To use the dashboards you must be at least the age of majority in your jurisdiction and authorized to act for the Restaurant. You are responsible for keeping login credentials confidential and for all activity under your account. Notify us promptly at [email protected] of any unauthorized use. You must provide accurate information and keep it up to date.
4. Restaurant responsibilities
Restaurants are solely responsible for their use of the Service and their Content, including:
- The accuracy of menus, prices, taxes, service charges, availability, and item information such as ingredients, allergens and dietary or spice details.
- Preparing and serving orders, and complying with all applicable food-safety, labeling, consumer-protection, tax and licensing laws.
- Handling Guest personal information in accordance with applicable law and providing any required privacy notices.
- Managing their staff, roles and permissions, and the settings they choose (for example, self-ordering, payment methods and real-time options).
Nova Menu is not responsible for errors in a Restaurant's Content or for the quality, safety or fulfilment of any order.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful, fraudulent or harmful purpose.
- Upload Content that is illegal, infringing, deceptive, or that you do not have the right to use.
- Interfere with or disrupt the Service, attempt to gain unauthorized access, or bypass security or usage limits.
- Reverse engineer, copy, resell or create derivative works from the Service except as permitted by law.
- Introduce malware or use automated means to overload or scrape the Service.
6. Orders and payments
When a Guest places an order, the resulting contract for the food or beverages is directly between the Guest and the Restaurant. Prices, taxes and charges are set by the Restaurant. Where online payment is enabled, payments are processed by third-party providers (such as card processors, Whish Money and Mastercard networks) and are subject to their terms. Refunds, cancellations and disputes for an order are handled by the Restaurant in line with its own policies and applicable law.
7. Subscription fees and billing
Access to the Service for Restaurants may require a subscription or other fees, as agreed separately in an order form, quote or plan. Unless stated otherwise, fees are exclusive of taxes, are payable in advance, and are non-refundable except where required by law. We may change fees on reasonable notice, effective at the next billing period.
8. Intellectual property
The Service, including its software, design, and the Nova Menu name and logo, is owned by Devlance and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. Restaurants retain ownership of their own Content and grant us a license to host, display and process it solely to provide the Service.
9. Third-party services
The Service integrates with third-party services such as payment providers, hosting and messaging platforms. Your use of those services may be subject to separate terms, and we are not responsible for their acts, omissions or availability.
10. Availability and changes
We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may modify, suspend or discontinue features, perform maintenance, or update the Service at any time. We may also update these Terms as described below.
11. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. Nova Menu does not warrant that the Service will meet your requirements or be uninterrupted, secure or error-free, and is not responsible for the food, service or conduct of any Restaurant.
12. Limitation of liability
To the maximum extent permitted by law, Nova Menu and Devlance will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for any claim relating to the Service will not exceed the amounts you paid to us for the Service in the three (3) months preceding the event giving rise to the claim, or, if you paid nothing, one hundred US dollars (USD 100).
13. Indemnification
You agree to indemnify and hold harmless Nova Menu, Devlance and their personnel from any claims, damages, liabilities and expenses (including reasonable legal fees) arising from your Content, your use of the Service, or your breach of these Terms or applicable law.
14. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay fees, or use the Service in a way that may cause harm or legal risk. On termination, your right to use the Service ends; provisions that by their nature should survive (such as intellectual property, disclaimers, limitation of liability and indemnification) will continue to apply.
15. Governing law and disputes
These Terms are governed by the laws of Lebanon, without regard to conflict-of-laws rules. The courts of Beirut, Lebanon will have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Service, unless mandatory local law provides otherwise.
16. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, provide reasonable notice. Your continued use of the Service after changes take effect means you accept the updated Terms.
